This document constitutes an official offer (public offer) from ИП Резванцев Андрей Владимирович (OGRNIP: 323246800039368, INN: 245905335067), hereinafter the "Licensor", to enter into a license agreement for the right to use the "Exlogare" software (SaaS platform) on the terms set out below.
The agreement is concluded by acceptance of this offer by any individual, legal entity, or sole entrepreneur (hereinafter the "Licensee").
1. Definitions
1.1. Platform (Software) — the computer program "Exlogare", hosted on the Internet at https://exlogare.net, which provides a SaaS service for analysing CI/CD pipeline failures in GitLab (via webhook or polling) using AI-based algorithms.
1.2. Site — the website of the Licensor at https://exlogare.net.
1.3. Personal Account — the authenticated area of the Site containing information about the Licensee's plan, quotas, and integration settings.
1.4. Plan / Tariff — the set of services and rights to use the Software offered by the Licensor, defining the available functionality, the "analysis" quota, and its price.
1.5. Analysis — a single Platform operation that retrieves failure data from a GitLab pipeline, processes it through a neural network, and returns a text report about the probable cause of the failure.
1.6. Acceptance of the Offer — full and unconditional acceptance by the Licensee, performed by completing the registration procedure on the Site and/or paying the fee.
2. Subject of the agreement
2.1. The Licensor grants the Licensee the right to use the Platform under a non-exclusive (simple) license within the functionality provided by the chosen Plan. The Licensee accepts the right to use the Software and pays the Licensor the remuneration (if the Plan is paid).
2.2. The Platform is delivered as "Software as a Service" (SaaS).
2.3. Access is provided through the Site's web interface and/or via an API integration (OAuth) with the Licensee's GitLab account.
3. Rights and obligations
3.1. The Licensor undertakes to:
- Ensure 24/7 availability of the Platform, except for scheduled maintenance windows.
- Ensure confidentiality of the data transferred by the Licensee, in accordance with the Privacy Policy.
3.2. The Licensee undertakes to:
- Use the Platform solely for lawful purposes.
- Pay the License fee on time according to the selected Plan.
- Not share the Personal Account credentials (login, password, API tokens) with third parties.
- Guarantee that logs transferred from GitLab do not contain state secrets, sensitive personal data, or any other information whose transfer is restricted by law.
4. Plans and payment
4.1. Access is provided under the chosen Plan. The Licensor may introduce, amend, or withdraw Plans unilaterally by publishing the change on the Site.
4.2. At the time of publication, the following models are offered:
- Free plan — basic access with a limited number of analyses (e.g. 20 total).
- Subscription (Startup, etc.) — a recurring subscription fee (Art. 429.4 of the Civil Code of the Russian Federation) for access to the functionality during the billing period (month).
- Individual plan (Enterprise) — terms are agreed separately.
- Analysis packs — one-off purchase of additional quota (100, 500, 2000 analyses, etc.) consumed as the Platform is used.
4.3. Payment is made on a 100% prepayment basis using bank cards through payment providers (Alfa-Bank, YooKassa, etc.) integrated with the Site.
4.4. The license fee is not subject to VAT because the Licensor applies the simplified tax system ("USN").
4.5. The service (grant of the right to use the Software) is deemed rendered by the Licensor and accepted by the Licensee in full:
- For subscriptions — at the moment access to the Platform is opened for the paid period.
- For packs — at the moment the corresponding number of analyses is credited to the Personal Account.
5. Refund policy
5.1. The Software is provided "as is".
5.2. In accordance with the provisions of the Civil Code of the Russian Federation (Art. 429.4 on subscription agreements, Art. 1235) and the Russian "Consumer Protection Law", the right to use software of proper quality is not subject to return or exchange.
5.3. Refunds for subscription periods or analysis packs already paid for are not issued, regardless of whether the Licensee actually used the Platform during the paid period.
5.4. If the Licensee unilaterally terminates the agreement (cancels the subscription), access to the Platform is preserved until the end of the paid period or until the pack is exhausted, after which access is suspended. Proportional refunds for unused days or quota are not made.
6. Liability and warranty disclaimer
6.1. The Platform is provided "as is". The Licensor does not warrant that the Platform will meet specific goals or expectations of the Licensee.
6.2. The Licensor is not liable for:
- Failures of GitLab services, unavailability of the GitLab API, or errors on the Licensee's infrastructure.
- Accuracy, completeness, or reliability of the analysis output generated by the AI, since AI outputs are probabilistic and advisory.
6.3. The aggregate liability of the Licensor under this agreement is limited to the license fee paid by the Licensee for the last billing month.
7. Term, amendment, and termination
7.1. The agreement becomes effective upon Acceptance and remains in force indefinitely.
7.2. The Licensor may unilaterally amend this Offer. A new version becomes effective upon publication on the Site.
7.3. The Licensee may withdraw at any time by deleting the account or disabling subscription renewal in the Personal Account.
